End-User License Agreement

This End-User License Agreement (the “Agreement”) is a binding contract between you and the organization you represent (“you” or “Customer”) and Maximinds Limited (“Maximinds,” “we,” “us,” or “our”), covering your access to and use of PracticePilot and its related websites, applications, and services (collectively, the “Service”). By creating an account, connecting a data source, or otherwise using the Service, you agree to this Agreement. If you do not agree, do not use the Service.

1. The Service

PracticePilot is a bookkeeping and financial-reporting platform for medical practices. It ingests financial records (such as bank feeds, payroll data, card-processor settlements, and accounting data from connected systems like QuickBooks Online) and produces financial statements, analytics, and related insights. The Service is designed to operate without protected health information (PHI).

2. License grant

Subject to this Agreement, Maximinds grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for your internal business purposes during the term. We reserve all rights not expressly granted.

3. Accounts, eligibility, and security

  • You must be at least the age of majority and authorized to bind your organization.
  • You are responsible for the accuracy of account information, for maintaining the confidentiality of credentials, and for all activity under your accounts.
  • You must promptly notify us of any unauthorized access or suspected security incident.

4. Acceptable use

You agree not to, and not to permit anyone to:

  • use the Service in violation of any law or third-party right;
  • submit protected health information or other clinical or patient-identifying data to the Service;
  • copy, modify, reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent this restriction is prohibited by law;
  • probe, scan, or test the vulnerability of the Service, or breach or circumvent any security or tenant-isolation measure;
  • resell, sublicense, or make the Service available to third parties except your authorized users;
  • interfere with or disrupt the integrity or performance of the Service.

5. Third-party services, including QuickBooks Online

The Service can connect to third-party services that you authorize, including QuickBooks Online (Intuit). When you connect QuickBooks, you authorize PracticePilot to access your accounting data on a read-onlybasis to provide the Service; PracticePilot does not write to, or change, your QuickBooks company. You represent that you are authorized to connect the relevant company data. Your use of any third-party service is governed by that provider’s own terms and privacy policy, and we are not responsible for third-party services. You may disconnect a connected service at any time, which revokes our access and deletes the stored access credentials.

6. Customer data and responsibilities

  • Ownership.As between the parties, you retain all rights to the financial records and other data you provide or connect (“Customer Data”).
  • License to operate. You grant Maximinds a limited license to host, process, and use Customer Data solely to provide, secure, and improve the Service and to produce the outputs you request.
  • Accuracy.The Service’s outputs depend on the accuracy and completeness of the source data you connect or upload. You are responsible for that source data and for reviewing outputs before relying on them.
  • No PHI. You agree not to submit protected health information or clinical data to the Service.

7. Fees

Fees, if any, are set out in the order, subscription, or engagement terms agreed between you and Maximinds. Unless stated otherwise there, fees are non-refundable except as required by law. We may update pricing prospectively on notice.

8. Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by Maximinds and its licensors and is protected by intellectual-property laws. This Agreement grants no rights to our trademarks or branding. If you provide feedback, you grant us a perpetual, royalty-free license to use it to improve the Service.

9. Confidentiality

Each party may access the other’s confidential information in connection with the Service. The receiving party will protect it with reasonable care and use it only as needed to perform under this Agreement, except where disclosure is required by law.

10. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. PracticePilot is a software tool for bookkeeping and financial reporting. It does not provide tax, audit, accounting, legal, investment, or medical advice, and it is not a substitute for a qualified professional such as a certified public accountant. You are responsible for your own financial, tax, and compliance decisions.

11. Limitation of liability

To the maximum extent permitted by law, Maximinds and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to the Service. Our total liability for any claim arising out of or related to this Agreement will not exceed the amounts you paid to us for the Service in the twelve months before the event giving rise to the claim, or one hundred United States dollars if you have paid nothing.

12. Indemnification

You will defend, indemnify, and hold harmless Maximinds from and against claims, damages, and expenses arising out of your Customer Data, your use of the Service in breach of this Agreement, or your violation of law or third-party rights.

13. Term and termination

This Agreement applies while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach this Agreement or to protect the Service or its users. On termination, your license ends; we will handle Customer Data as described in the Privacy Policy and any applicable order terms. Sections that by their nature should survive (including Sections 6, 8 through 12, and 15) will survive termination.

14. Changes to the Service or this Agreement

We may modify the Service and may update this Agreement from time to time. When we make material changes to this Agreement, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised Agreement.

15. Governing law and disputes

This Agreement is governed by the laws of Jamaica, without regard to its conflict-of-laws rules, and the courts located in Jamaica will have jurisdiction over any dispute, unless a separate signed agreement between you and Maximinds states otherwise. Nothing in this section limits any non-waivable rights you may have under the laws of your place of residence.

16. Miscellaneous

This Agreement, together with any order or subscription terms and the Privacy Policy, is the entire agreement between the parties regarding the Service. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign this Agreement without our consent; we may assign it in connection with a merger, acquisition, or sale of assets. Notices to you may be given through the Service or by email.
